A written diagnostic of the client’s existing investor-facing structure.

We review the financial model, deck, capital narrative, use of funds, assumptions, alignment between the financial model and investor-facing presentation, and material gaps or inconsistencies that may weaken capital readiness.

Turnaround: 3 business days

Investor Materials Upgrade

$2,500

For clients who already have an investor-facing package but need it strengthened, restructured, and aligned before taking it into serious capital conversations.

Depending on the engagement, this may include the financial model, investor deck, capital narrative, use of funds, financial assumptions, model-to-deck alignment, and related investor-facing structure.

Turnaround: 7 business days

Capital Package Buildout

$6,000

A full custom buildout for companies or projects that need the investor-facing financial and capital structure developed or substantially rebuilt.

Depending on the engagement, this may include the financial model, investor deck, capital narrative, assumptions, use of funds, capital structure, scenario analysis, model-to-deck alignment, and waterfall or return structure where applicable.

Turnaround: 7 to 10 business days

How the Referral Process Works

1. Sign the Partner Framework Agreement

Before referring clients to TBM, partner firms must review and sign the Partner Framework Agreement. This establishes the standing terms governing the relationship, including confidentiality, referral commissions, communication structure, and client handoff.

1.1. Refer the Client

Once the Partner Framework Agreement has been completed, submit the short Client Referral Form with the basic information we need to understand the company and the support they may need.

No documents are required at this stage.

You will also select how involved you would like your firm to remain in communications during the engagement.

2. TBM Reviews the Referral

We review the information and determine whether the client is a fit for one of our services.

If the engagement makes sense, we confirm the next step by email.

There is no obligation for TBM to accept every referral, and submitting a client does not automatically reserve project capacity.

3. The Client Accepts the Engagement

Once accepted, the client receives the applicable electronic engagement agreement and onboarding form.

They review the scope and terms, provide their legal and project information, and sign electronically.

4. Payment Is Completed

The Capital Readiness Review and Investor Materials Upgrade are paid through TBM’s secure payment system.

Capital Package Buildout engagements are invoiced.

All services are paid upfront.

5. We Open the Client Workspace

After payment, TBM creates a dedicated workspace and sends the client a secure upload link.

The client uploads the documents and information required for the engagement.

The project turnaround begins once both payment and the information reasonably required to begin the work have been received.

6. TBM Takes Over the Work

We review the existing structure, determine what needs to be built or strengthened, and handle the substantive work.

We do not require unnecessary meetings or administrative steps.

If clarification is genuinely required, we contact the appropriate person directly.

7. Review and Delivery

Where the service includes a review process, TBM sends the applicable draft version for review and completes the included revision rounds before final delivery.

The Capital Readiness Review is delivered as a completed written diagnostic.

Final documents are delivered through the client workspace.

Your Relationship With the Client

Your client remains your client.

TBM is brought in for a defined scope and does not replace or assume your underlying client relationship.

When submitting the referral, you choose how involved you would like to remain in communications during the engagement.

TBM may communicate directly with the referred client when required to collect information, clarify assumptions, manage review, or complete the work efficiently.

Any sharing of confidential client information remains subject to the client’s engagement agreement and applicable confidentiality obligations.

Confidentiality

Non-public client and partner information is treated as confidential.

Client documents, financial information, working files, analysis, and final deliverables are used only as reasonably necessary to perform and administer the engagement.

TBM does not publicly identify referred clients or publish confidential work without separate permission.

Partner Commission

Partners receive an 8% referral commission on eligible Professional Fees actually received and retained by TBM.

That currently equals:

Capital Readiness Review: $40
Investor Materials Upgrade: $200
Capital Package Buildout: $480

The commission is based solely on TBM’s Professional Fees.

It is not based on capital raised, securities sold, financing obtained, transaction value, investment proceeds, or any other securities-related outcome.

No commission is earned unless the referred client enters into and pays for an eligible engagement.

No Exclusivity or Minimum Volume

The partner relationship is non-exclusive.

There is no minimum referral requirement and no obligation to send a specific amount of business.

You refer clients when TBM is the right fit.
